Terms of Service

These Terms of Use (the "Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity and Seatmap (the “Seatmap”, “We”, “Us”), concerning your access to and use of the website located at https://seatmap.pro/ as well as any products or services available on the Site (“Services”). These Terms apply to all visitors, users and others who access or use the Service. These Terms do shall not be applied to access and use of any products which may be available under separate license terms.

Please read these Terms carefully before using or obtaining any materials and information relating to the Service.

BY USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS; IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

Definitions

We use these basic definitions throughout this document, and they have specific meanings. You should know what we mean when we use each of the definitions:

  1. “Terms of Use” refers collectively to all the terms, conditions, notices contained or referenced in this document;
  2. “Site” refers to Seatmap’s website located at https://seatmap.pro/ and all content, services and products provided by Seatmap at or through the Site. It also refers to Seatmap’s subdomains;
  3. “Seatmap” refers to the Seatmap Limited liability company incorporated under the laws of Cyprus and having its registered office at 26, Acharnon Street, 2305, Lakatamia, Nicosia, Cyprus ;
  4. “Service” refers to products and services provided by Seatmap through the Site including the Platform use;
  5. “Platform” refers to software made as a platform for seating plans creation, management and efficient seating charts rendering for the ticketing companies, available on the Site. The exclusive rights and/or right to use the Seatmap.pro platform belongs to the Seatmap.

Content

All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, artwork and computer code (collectively, "Content"), including but not limited to the design, structure, computer code, methods, selection, coordination, expression and arrangement of such Content, contained on the Site is owned and controlled by Seatmap, and is protected by trade dress, copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws in accordance with applicable legislation.

Except as expressly provided in these Terms, no part of the Site/Service and/or Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, decompiled, modified, translated, transmitted or distributed in any way to any other computer, server, Web site or other medium for publication or distribution or for any commercial enterprise.

Using our Services does not give you ownership of any intellectual property rights in our Services or the Content you access. You may not use the Content unless you obtain permission from its owner or are otherwise permitted by applicable legislation. These Terms do not grant you the right to use any trademarks or logos used in our Services.

Accounts

You may need the account in order to use some of the Seatmap’s Services.

If you are an owner of an account on Site, you are entirely responsible for maintaining the confidentiality of the information you hold for your account, including your password, and for any and all activity that occurs under your account as a result of your failing to keep this information secure and confidential.

You agree to notify Seatmap immediately of any unauthorized use of your account or password, or any other breach of security. You may be held liable for losses incurred by Seatmap or any other user of or visitor to the Site due to someone else using your account as a result of your failing to keep your account information secure and confidential.

You may not use anyone else’s account at any time without the express permission and consent of the holder of that account. Seatmap cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.

Access to the services

There are two kind of access to the Services provided by the Seatmap:

  1. Limited access to the Services including the following possibilities:
    • using the Site (being the owner of the account of Site, getting access to all materials located on the Site);
    • limited access to the Platform, located on Site (for informative purpose only).
  2. Full access to the Services including the following possibilities:
    • using the Site (being the owner of the account of Site, getting access to all materials located on the Site);
    • full access to the Platform according to the license agreement (for commercial purposes). If you want to get full access to the Platform by signing the license agreement, please contact us at hello@seatmap.pro.

Privacy

Seatmap’s Privacy Policy applies to use of Service, and its terms are made a part of these Terms by this reference. Our Privacy Policy describes how we handle the information you provide to us when you use our Services.

By using the Services, you agree that Seatmap may use such data in accordance with our Privacy Policy.

Links to the other websites

The Site and Services may contain links to other independent third-party Web sites. These Web sites are provided solely as a convenience to our visitors. Such Web sites are not under Seatmap’s control, and we are not responsible for and do not endorse the content of such Web sites, including any information or materials contained on such Web sites. You will need to make your own independent judgment regarding your interaction with these Web sites.

Applicable law

These Terms shall be governed by and construed in accordance with the laws of Cyprus without regard to principles of conflict laws.

Disputes

Any disputes related to these Terms shall be litigated exclusively in the federal court of Cyprus in the place where the Seatmap is domiciled.

Warranties and disclaimers

SEATMAP DOES NOT PROMISE THAT THE SERVICE OR FEATURE OF THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY DEFECTS WILL BE CORRECTED, OR THAT YOUR USE OF THE SERVICE WILL PROVIDE SPECIFIC RESULTS. THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. SEATMAP CANNOT ENSURE THAT ANY FILES OR OTHER DATA YOU DOWNLOAD FROM THE SITE WILL BE FREE OF VIRUSES OR CONTAMINATION OR DESTRUCTIVE FEATURES. SEATMAP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF ACCURACY, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. SEATMAP DISCLAIMS ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS AND CONDUCT OF ANY THIRD PARTIES IN CONNECTION WITH OR RELATED TO YOUR USE OF THE SITE AND/OR ANY SERVICES. YOU ASSUME TOTAL RESPONSIBILITY FOR YOUR USE OF THE SITE AND/OR THE SERVICES. THIS LIMITATION OF RELIEF IS A PART OF THE BARGAIN BETWEEN THE PARTIES.

The above disclaimer applies to any damages, liability or injuries caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction of or unauthorized access to, alteration of, or use, whether for breach of contract, tort, negligence or any other cause of action.

Limitation of liability

SUBJECT TO SECTION ABOVE, YOU UNDERSTAND AND AGREE THAT SEATMAP SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL CONSEQUENTIAL OR EXEMPLARY DAMAGES WHICH MAY BE INCURRED BY YOU, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, INCLUDING, BUT NOT LIMITED TO, ANY LOSS OF PROFIT (WHETHER INCURRED DIRECTLY OR INDIRECTLY), ANY LOSS OF GOODWILL OR BUSINESS REPUTATION, ANY LOSS OF DATA SUFFERED, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR OTHER INTANGIBLE LOSS, EVEN IF SEATMAP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

YOU AGREE THAT THE AGGREGATE LIABILITY OF SEATMAP TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICE OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE GREATER OF THE AMOUNTS PAID BY YOU TO SEATMAP (IF ANY).

Indemnification

You agree to hold harmless and indemnify Seatmap from and against any third party claim arising from or in any way related to (a) your breach of these Terms, (b) your violation of applicable legislation, rules or regulations in connection with the Service, or (c) Content, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs of every kind and nature.

In such case, Seatmap will provide you with written notice of such claim, suit or action; will provide you the opportunity to control the defense and/or settlement of such claim, suit or action; and will provide you reasonable assistance in such defense or settlement, upon reasonable request.

Prohibited use

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to access or use the Services for any purpose that is illegal or beyond the scope of the Services’ intended use.

You agree that you are responsible for your own conduct while accessing or using the Service and for any consequences thereof. By way of example, and not as a limitation, you may not and may not allow any third party to:

  • Send, upload, distribute or disseminate or offer to do the same with respect to any unlawful, defamatory, harassing, abusive, fraudulent, obscene, or otherwise objectionable Content;
  • Distribute viruses, worms, defects, Trojan horses, corrupted files, hoaxes, or any other items of a destructive or deceptive nature;
  • Impersonate another person (via the use of an email address or otherwise) or otherwise misrepresent yourself or the source of any content;
  • Upload, post, transmit or otherwise make available through the Service any content that infringes any patent, trademark, copyright, trade secret or other proprietary right of any party, unless you are the owner of such rights or have the permission of the owner to post such content;
  • Use the Service to violate the legal rights (such as rights of privacy and publicity) of others;
  • Interfere with other users' enjoyment of the Service;
  • Exploit the Service for any unauthorized commercial purpose;
  • Modify, adapt or reverse engineer any portion of the Service;
  • Remove any copyright, trademark or other proprietary rights notices contained in or on the Service or any content posted thereon;
  • Reformat or frame any portion of the web pages that are part of the Service's administration display;
  • Use any robot, spider, site search/retrieval application, or other device to retrieve or index any portion of the Service or the content posted thereon or to collect information about its users for any unauthorized purpose;

Changes and termination

Seatmap reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms at any time. It is your responsibility to check these Terms periodically for changes. Your continued use of the Service following the posting of changes will mean that you accept and agree to the changes.

You may terminate these Terms and discontinuing your use of the Service at any time and Seatmap may also stop providing Services to you or restrict access at any time without prior notice and without liability to you in our reasonable discretion.

Notwithstanding anything to the contrary herein, we may terminate or suspend access to the Services based on your breach of these Terms.

Final provisions

Using the Services, you agree that Seatmap may send you service announcements, administrative messages, and other information.

If any of the provisions of this Terms is invalidated, it does not affect the validity or applicability of the remaining provisions of this Terms.

Appeals, proposals and claims of individuals and legal entities to the Seatmap related to the operation of the Service, violations of the rights and interests of third parties, requirements of the legislation, as well as for requests of persons authorized by the legislation may be sent to the email address: hello@seatmap.pro.
